Joel is a Partner of Equity Litigation Group.

Joel is one of the leading lawyers in the country who represents investors in special-situations cases. Most of Joel’s cases are litigated in the Delaware Court of Chancery where, in recent years, he has compiled a 10-1 record on dispositive motions in special-situation cases.

Representative Actions

  • Acted as co-lead counsel in derivative litigation challenging conflicted share issuance by Charter Communications to Liberty Broadband, resulting in an $87.5 million settlement on the eve of trial after almost eight years of litigation.
  • Acted as co-lead counsel in derivative litigation challenging conflicted merger between Madison Square Garden Entertainment Corporation and MSG Networks, resulting in an $85 million settlement on the eve of trial.
  • Acted as co-lead counsel in class action (coordinated with parallel appraisal litigation) on behalf of former public investors in Pivotal Software, resolved by a $42.5 million settlement.

Other Actions

  • Counsel to affiliate of HoldCo Asset Management in expedited litigation in the Delaware Court of Chancery arising from HoldCo’s activist campaign involving Comerica Incorporated.
  • Counsel to 4M Investments and Ted Miller, the former CEO of Crown Castle in expedited litigation in the Delaware Court of Chancery arising from Miller’s activist campaign seeking election to Crown Castle’s board.
  • Counsel to Texas law firm in breach of contract litigation in the Delaware Court of Chancery, resulting in eight-figure recovery by Equity’s client.
  • Counsel to the bankruptcy estate of publicly traded biopharmaceutical company in malpractice litigation brought against the company’s former lawyers arising from pump-and-dump scheme by controlling investors.

Joel is frequently asked to speak or lecture on special-situations litigation as is frequently sought out as an authority by national media, including the Wall Street Journal and the Financial Times. In recent years, Joel has been a speaker, panelist, or guest lecturer at the Harvard Law Plaintiffs’ Association, the American College of Governance Counsel, the University of Delaware’s John L. Weinberg Center for Corporate Governance, Boston College Law School, Texas A&M University School of Law, and the Delaware Court of Chancery’s semi-annual judicial retreat. Joel also often represents law professors who wish to file amicus (“friend of the court”) briefs on novel questions of corporate law.

Joel was named one of the top securities litigators in the country under the age of 40 by Law360. He graduated with honors from Harvard Law School.
